1. Introduction
Welcome to Safe Exchange ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of our peer-to-peer marketplace for precious metals. By creating an account or using our services, you agree to be bound by these Terms.
2. Platform Role & Disclaimer
IMPORTANT: Safe Exchange is a NEUTRAL marketplace platform. We do NOT:
- Buy or sell precious metals
- Set, suggest, or influence prices
- Hold inventory or ownership of any items
- Provide investment, financial, or tax advice
- Guarantee the accuracy of spot prices displayed
Our role is limited to providing a platform that facilitates transactions between buyers and sellers, including escrow services, item verification, and dispute resolution.
3. Platform Fees & Commissions
Fee Schedule
Safe Exchange charges the following fees for facilitating transactions on our platform:

Fee Examples:
- Example 1: Item listed at $1,000
- Buyer pays: $1,000 + $20 (2% fee) = $1,020
- Seller receives: $1,000 - $20 (2% fee) = $980
- Platform revenue: $40
- Example 2: Item listed at $5,000
- Buyer pays: $5,000 + $100 (2% fee) = $5,100
- Seller receives: $5,000 - $100 (2% fee) = $4,900
- Platform revenue: $200

4. User Accounts
To use our services, you must create an account and complete identity verification (KYC). You agree to:
- Provide accurate and complete information
- Keep your account credentials secure
- Notify us immediately of any unauthorized access
- Be at least 18 years old or the age of majority in your jurisdiction
5. Transaction Process
5.1 Listing Items
Sellers set their own prices. The platform displays spot prices for reference only. All listings must accurately describe the item including metal type, weight, purity, and condition.
5.2 Escrow
All payments are held in escrow until the item is verified and delivered. Funds are only released to the seller after successful verification.
5.3 Verification
All items are shipped to our verification center for authentication before being shipped to the buyer. If an item fails verification, the buyer will receive a full refund.
6. Prohibited Items & Activities
- Counterfeit or misrepresented items
- Stolen goods
- Items prohibited by law
- Off-platform transactions
- Price manipulation or shill bidding
- Multiple accounts for fraudulent purposes
7. Disputes & Resolutions
Safe Exchange provides dispute resolution services. We will review all evidence and make a determination based on our policies. Our decisions are final.
8. Limitation of Liability
To the maximum extent permitted by law, Safe Exchange shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses.
Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you to Safe Exchange in the twelve (12) months preceding the claim.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification at least 30 days before they take effect. Continued use of the platform after changes constitutes acceptance.
